A appoints B to purchase certain goods on his behalf. B agrees to act for A and enters into negotiations with C. However, B does not disclose to C that he is acting as an agent for A. Later, A authorises B to appoint D to assist him in carrying out the work. B appoints D, who acts under B’s instructions. Explain, with reference to Sections 182, 183, 184, 185, 186 and 187 of the Indian Contract Act, 1872, the legal position regarding A, B and D.

Answer:

  1. Section 182 — Agent and Principal:
    B is an agent because he is employed by A to do an act for A or represent A in dealings with third persons. A is the principal.

  2. Section 183 — Who may employ an agent:
    A, being competent to contract, can appoint B as his agent.

  3. Section 184 — Who may be an agent:
    Any person may become an agent. Therefore, B’s capacity to contract is not essential merely for acting as an agent.

  4. Section 185 — Consideration not necessary:
    No consideration is necessary to create an agency between A and B.

  5. Section 186 — Agent’s authority:
    B’s authority may be express or implied. Here, A has expressly authorised B to purchase the goods.

  6. Section 187 — Definitions of express and implied authority:
    The authority given by spoken or written words is express authority; authority inferred from circumstances or the ordinary course of dealing is implied authority.

Conclusion:
B is A’s agent, A is the principal, and the agency can be created without consideration. B’s authority to purchase goods is express, while authority may also arise by implication from the circumstances.

A, B को अपनी ओर से कुछ वस्तुएँ खरीदने के लिए नियुक्त करता है। B, A की ओर से कार्य करने के लिए सहमत होता है और C के साथ बातचीत करता है, लेकिन C को यह नहीं बताता कि वह A के एजेंट के रूप में कार्य कर रहा है। बाद में A, B को कार्य में सहायता के लिए D को नियुक्त करने की अनुमति देता है। B, D को नियुक्त करता है और D, B के निर्देशों के अनुसार कार्य करता है। भारतीय संविदा अधिनियम, 1872 की धारा 182, 183, 184, 185, 186 तथा 187 के संदर्भ में A, B और D की कानूनी स्थिति स्पष्ट कीजिए।

उत्तर:

  1. धारा 182 — अभिकर्ता और प्रधान:
    B, A का अभिकर्ता (Agent) है, क्योंकि A ने B को अपनी ओर से वस्तुएँ खरीदने तथा तीसरे व्यक्ति से व्यवहार करने के लिए नियुक्त किया है। A प्रधान (Principal) है।

  2. धारा 183 — कौन अभिकर्ता नियुक्त कर सकता है:
    A, यदि वह संविदा करने के लिए सक्षम है, तो B को अपना अभिकर्ता नियुक्त कर सकता है।

  3. धारा 184 — कौन अभिकर्ता हो सकता है:
    कोई भी व्यक्ति अभिकर्ता हो सकता है। इसलिए केवल अभिकर्ता के रूप में कार्य करने के लिए B का स्वयं संविदा करने में सक्षम होना आवश्यक नहीं है।

  4. धारा 185 — प्रतिफल आवश्यक नहीं:
    अभिकरण (Agency) बनाने के लिए किसी प्रतिफल (Consideration) की आवश्यकता नहीं होती। इसलिए A और B के बीच अभिकरण बिना प्रतिफल के भी वैध रूप से बनाया जा सकता है।

  5. धारा 186 — अभिकर्ता का प्राधिकार:
    B को A द्वारा वस्तुएँ खरीदने का स्पष्ट प्राधिकार (Express Authority) दिया गया है। बाद में D को नियुक्त करने की अनुमति भी A ने B को स्पष्ट रूप से दी है।

  6. धारा 187 — स्पष्ट और निहित प्राधिकार:
    जो प्राधिकार लिखित या मौखिक शब्दों द्वारा दिया जाता है, वह स्पष्ट प्राधिकार है। परिस्थितियों या कार्य के सामान्य क्रम से जो प्राधिकार अनुमानित होता है, वह निहित प्राधिकार है। यहाँ B को वस्तुएँ खरीदने तथा D को नियुक्त करने का प्राधिकार स्पष्ट रूप से दिया गया है।

निष्कर्ष:
A प्रधान है, B उसका अभिकर्ता है और D, A की अनुमति से B द्वारा नियुक्त सहायक अभिकर्ता के रूप में कार्य करता है। B द्वारा C को यह न बताना कि वह A की ओर से कार्य कर रहा है, B के अभिकर्ता होने की स्थिति को समाप्त नहीं करता। Agency के निर्माण के लिए प्रतिफल आवश्यक नहीं है।
